GEORGE TOWN, Cayman Islands, November 3, 2026 (EZ Newswire) — MOBIUS STRIP (MS), a privacy-focused Web3 protocol, has incorporated a Cayman Islands foundation company to serve as the legal owner of its intellectual property, trademarks, domains and protocol code. Governance stays with the MS DAO.
The move follows a wider shift among decentralized protocols, including governance proposals at Aave, toward memberless Cayman entities that can hold and protect brand and code assets that a DAO can’t legally own by itself.
Why DAOs Need a Legal Entity
Unincorporated DAOs have no legal personality. That creates three practical problems:
- IP enforcement: A DAO can’t register trademarks or take infringers to court.
- Key-person risk: Domains, GitHub organizations, and social accounts often end up held by founders or early contributors personally, which exposes them to legal and tax liability.
- Contracting: Cloud providers, payment processors, and enterprise partners can’t sign binding agreements with a group of wallet addresses.
How the Structure Works
The MS operating company is set up as a foundation company without members under the Cayman Islands Foundation Companies Act (Registration Number: 576397989749).
- Asset custody: The company is the legal owner of MOBIUS STRIP’s trademarks, web domains, codebases, and research IP, and is the contracting party for off-chain partnerships.
- Independent oversight: A board of directors manages the company and an independent supervisor oversees it. Core development contributors can’t serve as directors.
- DAO governance: Protocol upgrades, treasury allocations, and roadmap decisions are voted on by the MS DAO.
“The operating company protects and holds; the DAO governs and decides,” said Shahzad Hussain, business manager of MOBIUS STRIP.
What the New Legal Structure Means for Partners
MOBIUS STRIP says the structure gives institutional and enterprise partners:
- A clear chain of title for code and trademarks during due diligence
- Separation between contributors, validators, and token holders and the company’s operating liabilities
- A legal counterparty for service agreements as MS rolls out ecosystem modules such as MS Pay for settlements and MS Swap for exchange
